Qualcomm wants to NXP for $47 billion – Telegraaf.nl

The offer of Qualcomm hangs from NXP, which is listed on the American technology fair Nasdaq, a price tag of a total of 47 billion dollars (43 billion euros). NXP is the former chipdivisie of Philips.

This, 47 billion dollars including debt of $ 9 billion. Per share amounts the bid in the amount of 110 dollars, a premium of 11 per cent over the closing price of Wednesday.

    Philips

NXP was previously the chipdivisie of Philips, but came in 2006 on their own two feet. Since then, it grew into the largest chipleverancier to the automotive industry.

That attracted the attention of Qualcomm, an American company that offers a wide range of chips. The company invests more heavily in the chips that should make it possible to self-propelled cars off the road to send.

    Employment

Qualcomm expects that the acquisition of NXP immediately after the closing, are going to significantly contribute to the profit. In addition, it offers the deal according to the company’s cost advantages in two year’s time, up to $ 500 million per year. How which savings exactly will be achieved and or jobs on the trip, is still unclear.

Ceo Guido Dierick of NXP the Netherlands does, however, have little impact on employment. ,,The companies complement each other well, there is very little overlap,” he said to the ANP. So NXP has a strong presence in the automobile industry, while Qualcomm has a leading market position in the field of mobile communication. With the development of ever smarter cars is becoming increasingly relevant to both disciplines to master.

Only at the headquarters of NXP to come as possible, job expire. ,,But that there will be not too much”, thinks Dierick. Qualcomm has as a pure developer itself is not production capacity, but has, according to the chief no plans for the NXP facility in Nijmegen, close it, or sell it. For the research department in Eindhoven offers you the deal possible even new growth opportunities.

    Many questions

The acquisition of NXP raises a lot of questions on trade union CNV vakmensen. ,,There is a reorganization, this acquisition disrupts all ongoing processes,” said director Arthur Bone. He asks himself what consequences this long-term continuity of the company and the employment in the Netherlands.

CNV vakmensen wants NXP the reorganizations of the last time ,,in a normal way” complete. At the former Philips part disappeared since privatisation, according to CNV is already a lot of jobs. ,,The employees get to deal with yet another change. What does this mean for all kinds of ongoing processes of change? That’s all back in a torrent?”, so ask the staff themselves, according to the bond.

    Approval

The Americans expect the deal before the end of next year to complete. Doing so requires the approval of regulators in several countries. Also, the shareholders of NXP still will be tempted into biting. Only if Qualcomm is insured of 95% of the shares, put the the acquisition.
